本条款(以下简称“本协议”)由 杭州企加科技有限公司(以下简称“阿里邮箱”或“我们”)与使用阿里企业邮箱服务的企业用户(以下简称“用户”或“您”)共同订立。您注册或使用本服务即视为同意遵守本协议及阿里邮箱发布的其他相关规则(包括但不限于隐私政策、服务公告等)。
一、服务概述
1.1 服务内容
阿里企业邮箱向用户提供专业企业邮箱服务,包括但不限于:
- 基础功能:邮件收发、无限容量存储、大附件中转站、企业网盘、通讯录管理等;
- 增值服务:审批流集成、差旅管理、邮件翻译、钉邮协同(邮件已读状态同步至钉钉)等;
- 版本分类:标准版、集团版、尊享版,具体功能及定价以官网公示为准(当前网址:https://www.ali-exmail.cn/)。
1.2 服务开通
用户需通过官网注册页面提交真实有效的企业信息(包括企业名称、域名、联系人信息等),经阿里邮箱审核通过后开通服务。企业管理员负责为员工创建子账号,并确保子账号使用者遵守本协议。
二、账户注册与管理
2.1 用户义务
- 保证注册信息真实、准确、完整,不得冒用他人名义或使用虚假信息注册;
- 妥善保管账户密码及管理员权限,因账户泄露或滥用导致的损失由用户自行承担;
- 遵守中国法律法规及本协议约定,不得利用邮箱从事违法违规活动(如发送垃圾邮件、钓鱼邮件、传播侵权内容等)。
2.2 账号权限
- 企业管理员享有子账号创建、删除、权限分配等管理权利;
- 子账号使用权归属于用户企业,员工离职后,用户应及时回收账号使用权,避免数据泄露(参考官网“可信设备管理”防泄密功能)。
三、服务费用与支付
3.1 定价与优惠
- 各版本收费标准以官网实时公示为准
- 费用按自然年或购买周期收取,用户需在开通服务前完成支付,未付费不得使用服务。
3.2 发票与退款
- 阿里邮箱可按用户需求提供合法发票,具体开票流程见官网说明;
- 除法律法规另有规定或本协议另有约定外,服务费用一经支付不予退还。
四、双方权利与义务
4.1 阿里邮箱权利与义务
- 权利
- 对用户注册信息及使用行为进行审核,对违反本协议的用户有权暂停或终止服务;
- 基于安全需要(如防范钓鱼邮件、垃圾邮件)对用户邮件内容进行技术过滤,但承诺不滥用该权利。
- 义务
- 基于飞天云架构及支付宝金融级安全体系,保障服务稳定性与数据安全(如传输加密、存储备份、7×24小时监控);
4.2 用户权利与义务
- 权利
- 按购买版本使用相应服务功能,享受数据备份与安全防护;
- 要求阿里邮箱对其企业数据保密,除非法律法规另有要求。
- 义务
- 遵守本协议及相关法律法规,不得利用服务从事损害阿里邮箱或第三方合法权益的行为;
- 确保使用本服务的员工及关联方遵守本协议,对其行为承担连带责任。
五、服务终止与变更
5.1 主动终止
用户可通过官网或客服申请终止服务,终止前需结清所有费用。服务终止后,阿里邮箱将删除用户数据,但因法律规定或安全审计需要留存的除外。
5.2 强制终止
若用户存在以下行为,阿里邮箱有权立即终止服务且不退还费用,并追究法律责任:
- 违反本协议约定或利用服务从事违法活动;
- 严重影响服务安全或干扰其他用户正常使用(如发送垃圾邮件、恶意攻击等)。
5.3 服务变更
阿里邮箱有权根据技术更新或业务调整变更服务内容(如新增功能、调整价格),变更前将通过官网公告或邮件通知用户。若用户不同意变更,可在通知期内申请终止服务。
六、责任限制与保密
6.1 责任限制
- 阿里邮箱对不可抗力(如地震、黑客攻击)或用户自身原因(如账号泄露、数据未备份)导致的服务中断或数据丢失不承担责任;
- 阿里邮箱的赔偿责任不超过用户实际支付的当年度服务费用。
6.2 保密条款
双方应对在合作中知悉的对方商业秘密、用户数据等信息严格保密,不得向第三方披露,法律另有规定或经对方书面同意的除外。
七、知识产权与合规
7.1 知识产权
- 阿里邮箱提供的软件、技术、界面设计等知识产权归阿里邮箱所有,用户不得复制、修改或反向工程;
- 用户上传的企业LOGO、签名模板等内容的知识产权归用户所有,但授予阿里邮箱在本服务范围内使用的权利。
7.2 法律合规
本协议适用中华人民共和国法律,若发生争议,双方应先友好协商,协商不成的,任何一方均有权向阿里邮箱所在地有管辖权的人民法院提起诉讼。
八、其他条款
8.1 协议更新
阿里邮箱可随时更新本协议,更新内容以官网公告形式发布,用户继续使用服务即视为接受更新后的条款。
8.2 条款独立性
若本协议任何条款被认定为无效或不可执行,不影响其他条款的法律效力。
This Agreement (the "Agreement") is entered into by Hangzhou Qijia Technology Co., Ltd. ("AliMail" or "we") and corporate users using the Ali Enterprise Mail service ("User" or "you"). By registering or using the Service, you agree to comply with this Agreement and other relevant rules published by AliMail (including but not limited to the Privacy Policy, service announcements, etc.).
I. Service Overview
1.1 Service Content
Ali Enterprise Mail provides professional corporate email services, including but not limited to:
● Basic Functions: Email sending/receiving, unlimited storage capacity, large attachment transit stations, corporate network disks, contact management, etc.;
● Value-Added Services: Approval workflow integration, travel management, email translation, DingMail collaboration (syncing email read status to DingTalk), etc.;
● Service Tiers: Standard Edition, Group Edition, and Premium Edition. Specific functions and pricing are subject to the official website
1.2 Service Activation
Users must submit true and valid corporate information (including company name, domain name, contact information, etc.) through the official website registration page. Services will be activated upon AliMail’s review and approval. Corporate administrators are responsible for creating sub-accounts for employees and ensuring sub-account users comply with this Agreement.
II. Account Registration and Management
2.1 User Obligations
● Ensure registration information is true, accurate, and complete; do not register under false identities or with fraudulent information.
● Safeguard account passwords and administrative privileges. The User shall bear all losses caused by account leakage or abuse.
● Comply with Chinese laws, regulations, and this Agreement; do not use the email service for illegal or prohibited activities (e.g., sending spam, phishing emails, or infringing content).
2.2 Account Permissions
● Corporate administrators have the right to create, delete, and assign permissions for sub-accounts.
● Sub-account usage rights belong to the User’s enterprise. Upon employee termination, the User must promptly reclaim sub-account access to prevent data leaks (refer to the "Trusted Device Management" anti-leakage function on the official website).
III. Service Fees and Payment
3.1 Pricing and Discounts
● The fee standard for each tier is subject to the real-time 公示 (public announcement) on the official website.
● Fees are charged annually or by purchase cycle. Users must complete payment before service activation; no service will be provided without payment.
3.2 Invoices and Refunds
● AliMail can provide legal invoices as requested by Users; specific invoicing procedures are outlined on the official website.
● Except as required by laws, regulations, or otherwise agreed in this Agreement, service fees are non-refundable once paid.
IV. Rights and Obligations of Both Parties
4.1 AliMail’s Rights and Obligations
● Rights: Review User registration information and usage behavior, and have the right to suspend or terminate services for Users in violation of this Agreement.
○ Technically filter User email content for security purposes (e.g., preventing phishing emails and spam), while undertaking not to abuse this right.
● Obligations: Ensure service stability and data security based on the FlyAway Cloud architecture and Alipay’s financial-grade security system (e.g., transmission encryption, storage backup, 7×24 monitoring).
4.2 User’s Rights and Obligations
● Rights: Use corresponding service functions according to the purchased tier and enjoy data backup and security protection.
○ Require AliMail to keep corporate data confidential, except as required by laws or regulations.
● Obligations: Comply with this Agreement and relevant laws/regulations; do not use the Service to harm AliMail’s or third parties’ legitimate rights and interests.
○ Ensure employees and affiliated parties using the Service comply with this Agreement and assume joint liability for their actions.
V. Service Termination and Changes
5.1 Voluntary Termination
Users may apply to terminate services through the official website or customer service but must settle all fees before termination. After service termination, AliMail will delete User data, except as required by law or for security audits.
5.2 Mandatory Termination
AliMail has the right to immediately terminate services without refund and pursue legal liability if the User engages in:
● Violations of this Agreement or illegal activities using the Service;
● Actions severely affecting service security or interfering with other Users’ normal use (e.g., sending spam, malicious attacks).
5.3 Service Changes
AliMail reserves the right to modify service content (e.g., add functions, adjust pricing) based on technological updates or business adjustments. Users will be notified via official website announcements or emails before changes take effect. If Users disagree with the changes, they may apply to terminate services within the notification period.
VI. Liability Limitation and Confidentiality
6.1 Liability Limitation
● AliMail shall not be liable for service interruptions or data loss caused by force majeure (e.g., earthquakes, hacker attacks) or User negligence (e.g., account leakage, lack of data backup).
● AliMail’s liability for compensation shall not exceed the User’s actual annual service fees paid.
6.2 Confidentiality Clause
Both parties shall strictly protect the other party’s trade secrets, user data, and other confidential information obtained during cooperation and shall not disclose such information to third parties, except as required by law or with written consent.
VII. Intellectual Property and Compliance
7.1 Intellectual Property
● Intellectual property rights (e.g., software, technology, interface designs) provided by AliMail belong to AliMail. Users shall not copy, modify, or reverse-engineer them.
● Intellectual property rights of uploaded corporate logos, signature templates, and other content belong to the User but grant AliMail the right to use them within the scope of this Service.
7.2 Legal Compliance
This Agreement is governed by the laws of the People’s Republic of China. In case of disputes, both parties shall first seek friendly negotiation. If negotiation fails, either party may initiate legal proceedings in the competent people’s court where AliMail is located.
VIII. Miscellaneous Provisions
8.1 Agreement Updates
AliMail may update this Agreement at any time, with revised content published via official website announcements. Continued use of the Service constitutes acceptance of the updated terms.
8.2 Severability
If any provision of this Agreement is held invalid or unenforceable, the validity and enforceability of the remaining provisions shall not be affected.
